We are looking for a Legal Counsel to work on complex financing and securities matters in a collaborative and growing environment that puts a premium on personal autonomy and teamwork. Are you the person we need to take on this challenge?

YOUR MISSION

Under the direction of the Vice President, Legal Affairs & Corporate Secretary, you will be required to work in various areas of the law, including securities law, mining law, corporate law, financing, and commercial law in general:

  • Negotiate and draft letters of intent, financing agreements, M&A agreements, and other investments and financing-related documents, as well as prepare ancillary documents for commercial transactions;

  • Participate in financing and capital market transactions, including public offerings and private placements;

  • Advise the organization on regulations governing public companies listed on the Toronto Stock Exchange and the New York Stock Exchange and ensure that the Company complies with its continuous disclosure obligations;

  • Support due diligence processes of financing or commercial transactions;

  • Advise and work with cross-functional teams on legal and commercial matters;

  • Keep track of legislative changes and industry trends;

  • Develop and implement internal policies and processes to ensure that the Company is compliant with its contractual, legal and regulatory obligations and streamline these operations;

  • Make recommendations that account for the Company’s reality and industry.

YOUR SKILLS PROFILE

  • Hold a Bachelor of Laws and be a member of the Barreau du Québec;

  • Have 4 to 6 years of relevant legal-firm or corporate experience with a solid background in corporate and project financing, securities for small and mid-cap public companies;

  • Knowledge of the mining, engineering and construction industry is an asset;

  • Have excellent interpersonal and teamwork skills;

  • Solid business acumen and a pragmatic and astute approach to the practice of law;

  • Be independent, meticulous and good at managing priorities;

  • Good command of French and English (both oral and written);

  • Have a keen interest in learning and development.
